SHEET 08Terms of Service

Terms of Service

These Terms of Service constitute a legally binding agreement between you and Static Play Holdings LLC governing your access to and use of the BizzyRoad software platform, APIs, exports, and AI tools located at bizzyroad.com.

LEGAL & GOVERNANCE SPECIFICATION
LAST UPDATED: SEPTEMBER 15, 2026·STATIC PLAY HOLDINGS LLC
Mandatory Regulatory & Computational Disclaimer

THE SERVICE IS SOFTWARE ONLY. Calculations use your stated numbers; plans and drafts are written by AI models. Static Play Holdings LLC and BizzyRoad are not registered investment advisors, broker-dealers, financial planners, certified public accountants, or attorneys. All runway calculations, burn rates, scenario projections, and matrix classifications are mathematical outputs computed strictly from numbers, assumptions, and configurations provided directly by you. You are solely responsible for independently verifying all figures before sharing them with investors, lenders, boards, or regulatory agencies.

1. Acceptance of Terms

By accessing, browsing, registering for, or using the BizzyRoad platform, web application, APIs, or associated services offered by Static Play Holdings LLC, you agree to be bound by these Terms of Service and our Privacy Policy. If you are entering into these Terms on behalf of a company, partnership, or other legal entity, you represent that you possess lawful corporate authority to bind such entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service & Non-Advisory Clarifications

BizzyRoad provides software tools for startup founders and business operators, including financial modeling, runway calculation, cash-flow stress testing, scenario branching, lean canvas tracking, and investor updates.

  • Algorithmic Authority: All formulas, including the Thornton Matrix™, operate fail-closed. Missing, zero, or negative operational inputs are never silently fabricated or papered over.
  • No Guarantee of Solvency or Capital: Projections, simulations (including downside shock scenarios), and benchmarks do not constitute guarantees of future performance, runway survival, or fundraising success.
  • Independent Professional Advice: You should consult independent, qualified legal, tax, and accounting professionals before making any material business, financial, or governance decisions.

3. Account Registration, Security & Data Authority

You must be at least 18 years of age and capable of forming a binding legal contract to create an account. You agree to provide accurate, current, and complete registration information and maintain its accuracy.

You are responsible for maintaining the confidentiality of your credentials and any secret workspace keys or share tokens generated by your account. You accept full responsibility for all activities that occur under your account or through share links created by you. You must notify us immediately of any unauthorized use or security compromise at support@bizzyroad.com.

Founder Data Ownership: As between you and Static Play Holdings LLC, you retain all right, title, and interest (including all intellectual property rights) in and to all financial numbers, cap table details, roadmaps, customer data, and operational figures you submit to the Platform (“Customer Data”). You grant us a limited, non-exclusive, worldwide license to host, store, process, and transmit Customer Data solely to provide, secure, and maintain the Service on your behalf.

4. Stakeholder & Investor Communications (Founder Attestation & CAN-SPAM)

The Platform permits you to enter contact information (including names and email addresses) for third parties, such as current investors, prospective angels, board members, and advisors, and to send update emails (such as “Monday Pulse”) to those contacts when you choose to.

By adding any third-party contact or sending any email, you explicitly represent, warrant, and attest that:

  1. You have obtained all legally required consents, permissions, or existing business relationship authorizations from each recipient to store their contact information and send them venture updates.
  2. The email addresses provided belong to real individuals who have agreed to receive communications from you or your organization.
  3. You will not use the Service to send unsolicited commercial emails, bulk marketing spam, purchased email lists, or communications violating the US CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), the EU General Data Protection Regulation (GDPR), or any other anti-spam laws.

Every email dispatched on your behalf via our third-party infrastructure (Resend, Inc.) includes clear identification of your venture, a sender postal address, and a functional, single-click unsubscribe link. If a recipient unsubscribes, the Platform permanently suppresses future emails to that recipient.

5. Subscriptions, Fees & Payment Processing

Paid subscriptions (the Pro, Power and BYOK plans, plus one-time credit top-ups) and metered compute are billed through our third-party payment processor, Stripe, Inc. By providing payment information, you authorize Stripe to charge all applicable recurring fees, taxes, and transaction costs to your designated payment method.

  • Monthly Plans: Billed monthly in advance on the anniversary of your signup date. Subscriptions automatically renew each month unless cancelled through your account billing settings prior to the renewal date.
  • Annual Commitments: Billed annually in advance for a 12-month commitment term. Annual plans automatically renew at the end of the 12-month period unless cancelled prior to renewal. Monthly compute allowances are disbursed automatically across each of the twelve months.
  • Tier Modifications: Upgrades take effect immediately with prorated fee adjustments. Downgrades take effect at the conclusion of the current billing cycle. A switch changes the subscription you already hold; the new plan's monthly credits begin at your next renewal.

6. Acceptable Use Policy

You agree that you will not:

  • Use the Service to publish, store, or transmit false, fraudulent, deceptive, or misleading financial disclosures, or use the Platform in connection with any illegal securities offering or unlawful capital solicitation.
  • Attempt to reverse engineer, decompile, disassemble, or derive source code from any portion of the Service.
  • Circumvent, disable, or tamper with security features, rate limits, cryptographic share-token authorizations, or database row-level access controls.
  • Probe, scan, or test the vulnerability of the Platform or its infrastructure without express prior written authorization.
  • Use automated crawlers, scrapers, or bots to harvest data from the Service outside of documented public APIs.
  • Impersonate any person or entity, or misrepresent your affiliation with any entity or venture.

7. Third-Party Subprocessors & Infrastructure

You acknowledge and agree that Static Play Holdings LLC utilizes reputable third-party cloud infrastructure and subprocessors to deliver the Service:

  • Vercel Inc.: Hosting, serverless and edge compute functions, global content delivery.
  • Supabase Inc.: Managed cloud PostgreSQL database, encryption at rest, user authentication.

Platform IP: Static Play Holdings LLC and its licensors retain all right, title, and interest in and to the BizzyRoad software, user interfaces, algorithms, mathematical matrices (including the Thornton Matrix™ formulas and fail-closed simulation models), trademarks, logos, visual designs, and documentation. You receive only a limited, revocable, non-transferable, non-sublicensable license to use the Platform during your active subscription.

Customer Exports: Reports, pitch decks (.pptx, .pdf), dossiers, and spreadsheet exports generated by the Platform containing your Customer Data are yours to use, present, and distribute for your legitimate business purposes.

12. Term, Cancellation & Termination

These Terms remain in effect until terminated by you or Static Play Holdings LLC. You may cancel your subscription at any time through the billing settings in your account. Cancellation will take effect at the end of your current paid billing period. We reserve the right to suspend or terminate your account immediately if you materially breach these Terms or engage in abusive activity.

13. Dispute Resolution & Binding Arbitration

These Terms and any dispute arising out of or related hereto shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice of law rules. Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

CLASS ACTION WAIVER: YOU AND STATIC PLAY HOLDINGS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date and notify you via email or through the Platform interface. Continued use of the Service after the effective date of updated Terms constitutes your acceptance.
